1. Non-Exclusive Basis: Licensor is licensing its web-based software application on a non-exclusive basis for use only on a web server controlled by or on behalf of Licensor.

3. Licensee's exclusive remedy for failure of the software to perform as above shall, at the option of the Licensor, be repair of the software or a refund. Other than as described above, Licensor makes no express or implied warranties and makes no implied warranty of merchantability or fitness for a particular purpose. Licensee agrees that in no event shall Licensor be liable to Licensee or third parties for indirect, consequential, punitive or special damages.
4. Disclaimer: The input of Licensee's data is totally within its control. As such, Licensor is not responsible to Licensee or any third party for the consequences of any data input errors. Further, Licensor shall not be liable under any circumstances for loss of Licensee's data regardless of the cause.

Such omission does not change the intent or binding nature of any or all of the rest of this Agreement which shall remain in full force and effect. Any litigation arising out of or pertaining to this Agreement shall be filed only and prosecuted in either the Superior Court, Judicial District of Woodland, California, or the U.S. District Court for the State of California, which has subject matter jurisdiction and which shall be the exclusive venue for any such litigation.
8. Injunctive Relief: Licensee acknowledges that the unauthorized use, transfer, disclosure of the software or copies will:
   1. substantially diminish the value to Licensor of the trade secrets and other proprietary interests that are the subject of this Agreement;
   2. render the Licensor's remedy at law for such unauthorized use, disclosure or transfer inadequate; and
   3. cause irreparable injury in a short period of time.
   If Licensee breaches any of its obligations with respect to the use or confidentiality of the software, Licensee agrees that Licensor shall be entitled to equitable relief to protect its interests therein, including, but not limited to, preliminary and permanent injunctive relief, and Licensee waives the necessity of Licensor posting a bond or other security in connection with seeking such relief.
9. Force Majeure: Licensor shall not be liable to Licensee or any other person or entity for any loss or damage for delay in the performance or nonperformance due to causes not reasonably within its control such as, but not limited to, an act of God, strike, lockout or other industrial disturbance, acts of a public enemy, war, blockade, public riot, public disaster, lightening, fire, storm, flood or other act of nature, explosion, judicial orders or decrees, governmental law/regulations, governmental actions, governmental delay, restraint or inaction, unavailability of the equipment and any other cause, whether of the kind specifically enumerated above or otherwise, which are not reasonably within the control of Licensor.
